These Terms of Service (the “Terms”) set out the conditions for using メイシα, the digital business card and contact management service provided by SEIWA HOLDINGS Co., Ltd. (the “Company”), including its website, applications and related services (the “Service”). Everyone who uses the Service (a “User”) does so on agreeing to these Terms.

Article 1 (Scope)

  1. These Terms apply to every aspect of the relationship between a User and the Company concerning the Service.
  2. Price lists, help pages and other specific rules the Company publishes on the Service form part of these Terms. Where they conflict with these Terms, the specific rules prevail.

Article 2 (Definitions)

  1. “Account” means the identifying information a User registers in order to use the Service.
  2. “Organisation” means the unit, on the Team or Enterprise plan, to which several Users belong and within which they share cards and contacts.
  3. “Card” means a digital business card a User creates on the Service. A “Public Card” is a Card that third parties can view through its URL or QR code.
  4. “Contact Data” means information about people other than the User that is registered on the Service by card scanning, card exchange or other means.

Article 3 (Registration)

  1. Anyone wishing to use the Service agrees to these Terms and applies for registration in the manner the Company specifies.
  2. The Company may decline a registration where:
    • the application contains false, mistaken or missing information;
    • the applicant has previously breached these Terms; or
    • the Company otherwise judges the registration inappropriate.

Article 4 (Account management)

  1. Users manage their Account on their own responsibility and must not let a third party use, borrow or take over it.
  2. Actions taken through an Account are deemed to be actions of that Account’s User.

Article 5 (Public Cards)

  1. Anyone who knows its URL or QR code can view a Public Card. Users choose for themselves what information to show on it.
  2. A Card’s URL is kept for as long as the User does not delete or suspend the Card.

Article 6 (Contact Data)

  1. When registering Contact Data, Users comply with the Act on the Protection of Personal Information and other laws, and register only information obtained lawfully.
  2. Contact Data registered by a User who belongs to an Organisation is shared with other Users in that Organisation according to its settings. Sharing never extends beyond the Organisation.
  3. To recognise text on scanned cards, the Company may send images to external providers for processing. Details are set out in the Privacy Policy.

Article 7 (Fees and payment)

  1. Fees for paid plans are the amounts, tax included, that the Company shows on the Service. Users pay them by the method the Company specifies.
  2. Paid plans are monthly and renew automatically each month unless the User cancels.
  3. Differences arising from plan changes or seat changes are prorated and settled on a following invoice.
  4. If payment cannot be confirmed, the Company may, after a seven-day grace period, reduce the User’s service to the level of the free plan. Public Cards and contact files (.vcf) continue to be served at the free-plan level.

Article 8 (Cancellation)

  1. Users may cancel a paid plan at any time from the billing portal. Cancellation takes effect at the end of the current billing period.
  2. Because this is a digital service, fees already paid are not refunded.
  3. If moving to a lower plan puts a User over its card limit, the excess Cards are suspended rather than deleted, and the User chooses which Cards stay public.

Article 9 (Prohibited conduct)

Users must not:

  • break the law or act against public order and morals;
  • impersonate anyone, or create a Card under another person’s name or affiliation;
  • register third-party information obtained without consent or by improper means;
  • infringe the intellectual property, privacy, reputation or other rights of the Company, other Users or third parties;
  • place excessive load on the Service’s servers or network, or otherwise interfere with its operation;
  • disassemble, decompile or reverse-engineer the Service;
  • use information obtained through the Service for bulk commercial messaging without the person’s consent; or
  • do anything else the Company judges inappropriate.

Article 10 (Suspension)

If a User breaches these Terms, the Company may, without prior notice, suspend that User’s use of the Service, make their Cards private or delete their Account.

Article 11 (Changes, interruption and termination of the Service)

  1. The Company may change or end the Service by notifying Users in advance.
  2. The Company may interrupt all or part of the Service without prior notice for maintenance, faults, natural disasters or other unavoidable reasons.

Article 12 (Disclaimer and limitation of liability)

  1. The Company does not warrant that the Service suits any particular purpose of a User, or that card-scanning results or other information are complete and accurate. Users check the content on the confirm screen before saving.
  2. The Company is not liable for damage a User suffers in connection with the Service, except where caused by the Company’s intent or gross negligence.
  3. Where the Company is nonetheless liable, its liability is capped at the total Service fees the User paid the Company in the twelve months before the month in which the damage arose. This cap does not apply to damage caused by the Company’s intent or gross negligence where the User is a consumer under the Consumer Contract Act.

Article 13 (User data)

  1. Rights in data Users register on the Service belong to the User or the rightful holder.
  2. The Company may use User data to the extent needed to provide, maintain and improve the Service.
  3. Personal information is handled under the Company’s Privacy Policy.

Article 14 (Changes to these Terms)

The Company may change these Terms under Article 548-4 of the Civil Code. It will announce the change and its effective date on the Service a reasonable period before the change takes effect.

Article 15 (No assignment)

Users may not assign or pledge their position under these Terms, or any rights or obligations under them, to a third party without the Company’s prior written consent.

Article 16 (Governing law and jurisdiction)

  1. These Terms are governed by the laws of Japan.
  2. The Matsuyama District Court has exclusive jurisdiction in the first instance over any dispute concerning the Service.

Article 17 (Contact)

Questions about these Terms can be sent to the contact details in the Commercial Disclosures.
